Terms of Use Agreement

These Terms of Use Agreement ("Agreement" or "Terms") govern your access to and use of the website, applications, and services offered by Asuna AI Inc. ("Asuna AI", "we", "us", or "our"), including asuna.ai and any related products or features (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you represent that (a) you have read, understood, and agree to be bound by these Terms and our Privacy Policy; (b) you are at least 18 years old; and (c) if you are using the Service on behalf of an organization, you have authority to bind that organization to these Terms.

2. Service Description

Asuna AI is an AI-powered image generation platform that allows users to create, edit, transform, and manage images using artificial intelligence. We provide access to various AI models, including image generation, editing, inpainting, upscaling, and custom character tools, through our web interface.

3. License to Use the Service

Subject to your compliance with these Terms, Asuna AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal or internal business purposes.

4. Your Account

4.1. Registration. You may be required to create an account to access certain features. You agree to provide accurate, current, and complete information and to keep your account information updated.

4.2. Security. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access at team@asuna.ai.

4.3. One Account. You may not create multiple accounts or share your account credentials with others unless expressly authorized in writing by Asuna AI.

5. User Content

5.1. Your Content. You retain ownership of all text, images, prompts, and other materials you provide to the Service ("User Content"). By submitting User Content, you grant Asuna AI a worldwide, royalty-free, non-exclusive license to use, reproduce, store, display, transmit, and process your User Content solely as necessary to provide and improve the Service.

5.2. AI Training. You acknowledge and agree that Asuna AI may use your inputs (prompts) and outputs (generated images) to train, develop, enhance, and improve its AI models and services. If you do not wish your content to be used for AI training, please contact us at team@asuna.ai.

5.3. Generated Output. Subject to these Terms and applicable law, outputs generated through the Service using your prompts are yours to use for personal and commercial purposes. However, AI-generated content may not be protectable under copyright in all jurisdictions, and you are responsible for determining the legal status of any output you use.

5.4. Your Representations. You represent and warrant that: (a) you own or have the necessary rights to your User Content; (b) your User Content does not infringe any third-party rights; and (c) your use of the Service complies with all applicable laws.

6. Prohibited Uses

You agree not to use the Service to:

Generate, upload, or distribute content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
Generate content that depicts minors in sexual or exploitative contexts
Infringe or misappropriate any intellectual property, privacy, or other rights of third parties
Impersonate any person, entity, or organization
Spread misinformation, disinformation, or deceptive content
Develop, train, or improve AI models that compete with Asuna AI using outputs from the Service
Reverse engineer, decompile, or attempt to extract the source code of the Service
Scrape, crawl, or harvest data from the Service without our express written consent
Circumvent any rate limits, security measures, or access controls
Use the Service for any unlawful purpose or in violation of any applicable laws or regulations

7. Intellectual Property

7.1. Asuna AI IP. All rights, title, and interest in and to the Service, including all software, algorithms, models, interfaces, logos, and content created by Asuna AI (excluding User Content), are and will remain the exclusive property of Asuna AI Inc. and its licensors.

7.2. Feedback. If you provide us with any suggestions, ideas, or feedback about the Service ("Feedback"), you grant Asuna AI a royalty-free, irrevocable, perpetual, worldwide license to use and incorporate such Feedback into the Service without compensation to you.

8. Subscriptions and Billing

8.1. Pricing. Access to certain features requires a paid subscription. Pricing is described on our pricing page at asuna.ai/pricing. Asuna AI reserves the right to change pricing at any time, with notice to subscribers.

8.2. Auto-Renewal. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on a recurring basis.

8.3. Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you retain access through that period.

8.4. Refunds. Subscription fees are generally non-refundable. However, if you request a refund within seven (7) days of your initial subscription purchase and have not used any credits or generated any images, we will issue a full refund. All other fees are non-refundable except as required by applicable law.

8.5. Credits. Certain plans may include generation credits. Unused credits may expire at the end of each billing period. Credits have no cash value and are non-transferable.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, Asuna AI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Asuna AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR PURPOSE.

AI-generated content may be unexpected, inappropriate, or inaccurate. You are solely responsible for reviewing and determining the suitability of any generated content before use.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Asuna AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, GOODWILL, OR DATA), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Asuna AI'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO Asuna AI IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THIS LIMITATION DOES NOT APPLY WHERE PROHIBITED BY LAW (INCLUDING IN CASES OF GROSS NEGLIGENCE OR FRAUD).

11. Indemnification

You agree to indemnify, defend, and hold harmless Asuna AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right.

12. Dispute Resolution

12.1. Informal Resolution. Before filing any formal legal claim, you agree to contact us at team@asuna.ai and attempt to resolve the dispute informally. We will attempt to resolve the dispute within thirty (30) days.

12.2. Binding Arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except as set forth below.

12.3. Class Action Waiver. YOU AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

12.4. Opt-Out. You may opt out of arbitration by sending written notice to team@asuna.ai within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you opt out of arbitration.

12.5. Exceptions. Either party may seek relief in small claims court for qualifying disputes, and either party may seek emergency injunctive relief in any court of competent jurisdiction.

13. Termination

13.1. By You. You may stop using the Service and delete your account at any time.

13.2. By Asuna AI. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your license to use the Service immediately ends, and we may delete your account and associated content.

13.3. Effect of Termination. Sections 5.2, 7, 9, 10, 11, 12, and 14 survive termination.

14. Governing Law

These Terms are governed by the laws of the State of [YOUR JURISDICTION], without regard to its conflict-of-law principles. Subject to Section 12 (Dispute Resolution), any legal action shall be brought exclusively in the state or federal courts located in [YOUR JURISDICTION].

15. General

15.1. Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Asuna AI regarding the Service.

15.2. Modifications. We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Service. Continued use after changes take effect constitutes acceptance.

15.3. Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver.

15.4. Severability. If any provision of these Terms is found invalid, that provision will be limited or eliminated, and the remaining provisions will remain in effect.

15.5. Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
